Terms & Conditions

• Schools that subscribe to GyanMul, and their staff (owners, principals, administrators, teachers, accountants, receptionists, librarians, drivers and others).
• Students and parents or guardians whose accounts are provided by their school.
• GyanMul Prep learners and parents who sign up on their own, without a school.
• Merchants that accept the Wallet by Nepfex Pay, who also agree to separate Merchant Terms.

Where a school has signed a School Service Agreement with us, that agreement governs the school's subscription, and it takes priority over these Terms if the two conflict. These Terms work alongside our Privacy Policy, Acceptable Use Policy, Refund Policy and Children's Privacy notice.

A GyanMul account may be created by a school for its staff, students and parents, or by an individual for GyanMul Prep. You are responsible for keeping your password, PIN and devices secure and for all activity under your account. Do not share your account. Tell us immediately at info@gyanmul.com — and your school, if you belong to one — if you suspect unauthorised access.

• Anyone under 18 may use GyanMul only with the permission and supervision of a parent or guardian, or through their school.
• Children under 13 should use GyanMul only through an account provided by their school or set up together with a parent or guardian.
• A parent or guardian who allows a child to use the Service accepts these Terms on the child's behalf and is responsible for the child's use, including any purchase, wallet use, AI use or connection to a third-party service.
• Parents can link to a child's account to follow their progress. Schools remain responsible for consents relating to their students.

• A school subscribes to GyanMul under one of our published plans or a custom agreement, which may include a free trial period.
• Fees, billing cycles, payment terms and applicable taxes (including VAT) are as stated in the school's agreement or invoice. See our Refund Policy for cancellation terms.
• A school is responsible for the accuracy of the data it enters, and for having the consents needed to enter personal data about its staff, students and parents.
• We may suspend or limit a school's access for non-payment after reasonable notice, without affecting amounts already due.

• GyanMul Prep offers free features and a paid Premium plan. Prices are shown in Nepali Rupees at checkout and include applicable taxes unless stated otherwise.
• Premium is prepaid for a fixed period (for example one month or one year). It does not renew automatically — buying again extends your access from the date it would have ended.
• Payment is made through the payment gateway shown at checkout (currently eSewa), under that provider's own terms. A payment is only complete once the gateway confirms it; if a payment is pending or fails, Premium is not activated until it is confirmed.
• When Premium ends, Premium features lock but your account, progress and history are kept.
• Free allowances (for example daily quizzes or Gurubaa questions), trials and promo codes are offered at our discretion, may change, cannot be exchanged for cash, and may be withdrawn if misused.
• Learners whose school provides Premium are not charged; their access follows the school's subscription.
• A learner under 18 needs a parent's or guardian's permission to buy Premium. Refunds follow our Refund Policy.

GyanMul provides the technology a school uses to issue fee bills, receipts and reminders. When you pay school fees online, the payment goes through the payment gateway the school has configured (such as eSewa or Khalti) into the school's own account. The fee is owed to, received by and — where applicable — refunded by the school, under the school's own fee policy. Questions or disputes about fees should be raised with the school. GyanMul is not a party to the fee transaction and does not hold fee money. The payment gateway's own terms also apply.

The same applies to staff salary payments: GyanMul can prepare payment files for a school, but the school authorises every payment, makes it through its own bank, and is responsible for its accuracy.

Where a school offers it, students can have a GyanMul Wallet ("Wallet") for paying at approved merchants connected to their school — for example the canteen, stationery shop, uniform or book store, transport or school events.

• The Wallet is a closed-loop, prepaid spending balance for use only at merchants approved for that school. It is not a bank account, a deposit, a savings product or a general payment service, and it earns no interest.
• Money can be added through the payment gateway the school has set up (such as eSewa or Khalti) or in cash at the school office, within the limits the school sets. Top-ups are received by the school and recorded as the student's Wallet balance.
• The balance cannot be withdrawn as cash or transferred to another person, except as a refund handled by the school.
• Merchants are independent businesses. They — not GyanMul — are responsible for the goods and services they sell, their prices, and any fees they disclose. Problems with a purchase should be taken up with the merchant or the school.
• If a payment is wrong or duplicated, report it to your school promptly. Corrections and refunds are made by authorised school staff and appear in the Wallet history.
• If a student leaves or graduates, or the school stops offering the Wallet, any unused balance is settled by the school under its own process. We recommend parents ask the school before topping up a large amount.
• A school may turn the Wallet off. We may suspend a Wallet or block payments to protect a user, prevent fraud or comply with the law.
• Some Wallet features may require approval from Nepal Rastra Bank or a licensed partner. They are offered only where that approval or partnership is in place, and the features available may change as a result.

• A school may issue NFC ID cards that work for attendance, identification and — where the Wallet is enabled — payment. Some phones can also pay by tapping the phone (a code that changes about every minute).
• Keep your card and phone safe and keep your PIN secret. A PIN can be required for card payments; if you choose to allow payments without a PIN, you accept the risk of payments made by anyone holding the card.
• If a card or phone is lost or stolen, block it immediately in the app or tell your school. You are responsible for payments made before the block is in place; after it is in place, those payments are refused. Blocking a card is permanent, and a replacement card is issued through your school.
• We are responsible for losses caused by our own system errors.

• Gurubaa is GyanMul's AI tutor and assistant. It uses third-party AI models (currently provided by OpenAI) to generate answers, explanations, study plans, marks for written answers and suggestions.
• AI output can be wrong, incomplete or out of date. It is a study aid, not an official mark, grade or result, and it does not guarantee any exam outcome. Check important information against your textbook, teacher or the official source.
• Do not upload other people's personal information, or photos of other people, without their permission. Photos you send to Gurubaa are kept only for a limited time to answer your question.
• Usage allowances depend on your plan and your school's settings, and may change.
• Your school data is not used to train AI models.

You can choose to connect your GyanMul account to an AI assistant such as ChatGPT (by OpenAI) or Claude (by Anthropic) using GyanMul's connector (MCP).

• Connecting is optional and is done by you, through a sign-in screen where you approve what the connection may do. It only ever has the access your own account has — the same school, the same permissions.
• Information the assistant reads through GyanMul — for example your lessons, assignments, results and attendance, or, for school staff, school information you are allowed to see — is sent to that AI provider and handled under its own terms and privacy policy, not ours.
• Actions that change things (such as creating a draft or publishing a post) ask for your confirmation first. You are responsible for what you ask the assistant to do and for checking its output before you publish or share it.
• School staff must only use a connection for school work, in line with their school's policies, and must not share students' personal information or photos except as the school permits and the family has consented.
• A student under 18 needs a parent's or guardian's permission to connect an AI assistant.
• You can disconnect at any time from your account settings or from the AI app. A school or GyanMul may disable connections. All connector activity is logged.
• Using a connection to copy or extract GyanMul content in breach of section 18 is not allowed.

• A school can use GyanMul to publish to its own website, Facebook Page and Instagram account. The school is the publisher and is responsible for what it posts. Meta's terms apply to Facebook and Instagram.
• Photos or names of students and staff are only used in school posts where consent has been recorded. Consent is given by the person themselves, by a parent or guardian, or recorded by the school from a signed form, and can be withdrawn at any time.
• Consent under the current terms also covers creating school posts with AI design tools such as ChatGPT or Claude, which receive the photo to make the design.
• Once something is public, others may save or share it. Withdrawing consent stops new use and lets the school remove its own posts, but cannot recall copies others have made.

• A school is responsible for the content of its GyanMul website and blog, and for the personal data it collects through its forms (such as admission enquiries).
• A school that connects its own domain must own or control that domain and keep its registration current.
• Branded school apps are built and published by GyanMul on the school's behalf; when the school's subscription ends, the app may be withdrawn from app stores.
• Where GyanMul Mail is provided, mailboxes must not be used for spam or unlawful messages, are subject to storage limits, and may be closed when the subscription ends after the notice period in the school's agreement.

Where a school uses bus tracking, the driver's phone shares its location while a trip is active, and parents can see the bus and an estimated arrival time. Arrival times are estimates based on maps and traffic data and may be inaccurate. The school is responsible for its transport service, for its drivers' consent and safe use of the app (never while driving), and for students' pickup locations.

Messaging is provided for school communication. Staff must communicate with students and parents appropriately and in line with school policy; the school is responsible for supervising its staff's use. Bulk messages must be relevant to the recipients. Online meeting links shared by teachers open third-party services under their own terms. Push and email notifications are sent through third-party providers and may occasionally be delayed.

In live games such as Clash, other players can see your display name and scores. Anyone with a game code can join a public game. Play fairly — no cheating, automated answers or offensive names. Points, XP, streaks and badges have no cash value and may be adjusted or reset if they were earned unfairly.

• Each promotion (for example Refer & Win) has its own rules, dates, eligibility and prizes, shown on the promotion page. Those rules apply together with this section and take priority for that promotion.
• No purchase is necessary to enter unless a promotion says otherwise. Entries made with fake, duplicate or automated accounts are void.
• Winners are chosen by random draw by our system. A draw is repeated only if the original winner is ineligible, breaks the rules, or cannot be contacted or does not claim the prize within the time stated. Every draw is recorded.
• A winner under 18 must have a parent or guardian claim the prize. Prizes are not transferable, cannot be exchanged except as we decide, and may be replaced with a prize of equal or greater value. Any tax on a prize is the winner's responsibility where the law requires.
• We will only publish a winner's name or photo with their consent (and their parent's or guardian's, if under 18).
• We may change or cancel a promotion in case of fraud, error or events outside our control.

You keep ownership of what you upload — homework, documents, photos, messages, applications. You give GyanMul and your school the licence needed to store, process and display it to provide the Service. You confirm you have the right to upload it, and that it does not infringe anyone's rights or break the law. Schools may review and remove content on their accounts; we may remove content that breaks these Terms.

All learning content in GyanMul and GyanMul Prep — including questions, quizzes, mock tests, model question sets, our transcriptions, layouts and translations of past papers, solutions and marking schemes, notes, explanations, study plans, Gurubaa's answers, images and designs — is owned by Nepfex Innovations Pvt. Ltd. ("GyanMul") or its licensors and is protected by copyright, including under the Copyright Act, 2059 (2002) of Nepal. It is licensed to you only for your own personal study or your work inside the Service. Official past papers remain the property of the bodies that published them; our transcriptions, translations, formatting and solutions of them are ours.

Without GyanMul's prior written permission, you must not:

• take screenshots, screen recordings or photographs of the content, or capture it by any other means;
• download, copy, print, scrape or save the content, except where the Service itself offers a download for your own use;
• post, share, upload or forward the content anywhere — including Facebook, Instagram, TikTok, YouTube, Telegram, WhatsApp or any other social media, website, group or channel;
• sell, rent or publish the content, or use it to make competing material, courses, apps or AI systems.

To protect the content, the apps block screenshots and screen recording, and the website shows a faint watermark with the viewer's name and email so copies can be traced. Breaking these rules is treated as a serious offence. Where we find a breach, we may immediately suspend or permanently close the account involved, have the copied content taken down wherever it was posted, and take legal action — including claims for damages and complaints to the relevant authorities under the laws of Nepal. For a student under 18, we may also inform the student's school and parent or guardian. Please report GyanMul content shared where it should not be to info@gyanmul.com.

Use of the Service is subject to our Acceptable Use Policy. In particular, do not access data you are not authorised to see, get around security or usage limits, misuse the Wallet, cards or promotions, use AI features to harass anyone or to cheat in a formal assessment, or use the Service against the law.

GyanMul, Nepfex Pay, Gurubaa, their logos, and the underlying software are the property of Nepfex Innovations Pvt. Ltd. and its licensors. Your school retains all rights to the data it enters into GyanMul (student records, academic content it creates or uploads, branding assets, etc.). We are granted only the limited licence needed to host, process and display that data to provide the Service. Learning content that GyanMul itself provides is ours, as described in section 18.

A school owns the data it stores in GyanMul and may export a copy at any time in standard formats. To support a school, investigate a problem or keep the Service secure, authorised GyanMul staff may access a school's account for a limited time; every such access is logged, and a school can ask us for the record. Personal data is handled as described in our Privacy Policy and, for schools, our Data Processing Agreement.

The Service works with third-party services — including payment gateways (eSewa, Khalti), AI providers (OpenAI, and the AI assistant you choose to connect), maps (Google), notifications (Google Firebase), social networks (Meta) and hosting providers. Their own terms and privacy policies apply to your use of them. We are not responsible for their availability or for how they handle information you choose to share with them.

We aim to keep GyanMul available and reliable, but the Service is provided on an "as available" basis. We may perform scheduled maintenance, during which some or all features — including the Wallet — may be unavailable. We will make reasonable efforts to notify school administrators in advance of planned maintenance that affects availability.

To the maximum extent permitted by law, GyanMul is provided without warranties of any kind, express or implied, including about exam results, AI output or arrival-time estimates. Nepfex Innovations Pvt. Ltd. will not be liable for indirect, incidental or consequential damages arising from use of the Service, or for the acts of schools, merchants, payment gateways or other third parties. Nothing in these Terms limits liability for gross negligence, wilful misconduct, or any liability that cannot be excluded under applicable law.

A school may cancel its subscription by contacting info@gyanmul.com. A Prep learner may stop using the Service and ask us to delete their account at any time — see our Account Deletion Policy. We may suspend or terminate access for material breach of these Terms, following reasonable notice and an opportunity to cure where practicable — except for fraud, Wallet misuse, safety risks or copying and sharing GyanMul content in breach of section 18, which may lead to immediate suspension. On termination, any Wallet balance is settled by the school as described in section 7; prepaid Prep Premium is handled under our Refund Policy.

We may update these Terms from time to time. We will update the "Last updated" date above, and notify school administrators and account holders of material changes before they take effect. Continuing to use the Service after a change takes effect means you accept the updated Terms.

These Terms are governed by the laws of Nepal. Any dispute arising from these Terms will be subject to the exclusive jurisdiction of the courts of Kathmandu, Nepal, unless otherwise required by applicable law.
